Terms of Service

These Terms of Service ("Terms") govern your use of the BookingNudge platform, widget, and related services ("Service") operated by Granados Group LLC, a Colorado limited liability company, doing business as BookingNudge ("BookingNudge," "we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

BookingNudge provides an AI-powered conversational chat widget that Tenants embed on their websites. The Widget answers visitor questions about the Tenant's services, pricing, and availability, captures leads, and facilitates booking through the Tenant's existing booking system.

The Widget is powered by artificial intelligence. All chat responses are generated by AI, not a human. The AI Assistant is trained on information provided by the Tenant (services, pricing, FAQs) and publicly available business information.

3. Acceptance of Terms

By using the Widget (including typing a message, submitting a form, or clicking a button), you agree to these Terms and our Privacy Policy. If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these Terms.

4. Eligibility

You must be at least 18 years old to subscribe as a Tenant. End Users must be at least 13 years old to interact with the Widget.

All responses from the Widget are generated by artificial intelligence. While we strive for accuracy, AI responses:

Our collection and use of personal information is governed by our Privacy Policy. By using the Service, you consent to the data practices described therein.

10. Intellectual Property

BookingNudge retains all rights to the Widget, its code, design, and underlying AI systems. Tenants retain all rights to their business content, knowledge base data, and branding. Neither party acquires rights to the other's intellectual property beyond what is necessary to operate the Service.

We strive to maintain high availability but do not guarantee uninterrupted service. We may modify, suspend, or discontinue the Service at any time with reasonable notice to Tenants. Scheduled maintenance will be communicated in advance when possible.

13. Fees and Payment

Tenant subscription fees are billed monthly in advance. Pricing is as agreed upon in the Tenant's subscription agreement. We may change pricing with 30 days' written notice. Subscriptions auto-renew unless cancelled before the renewal date.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BOOKINGNUDGE'S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE FEES PAID BY THE TENANT IN THE 12 MONTHS PRECEDING THE CLAIM.

BOOKINGNUDGE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST REVENUE, LOST PROFITS, OR LOST DATA, REGARDLESS OF THE CAUSE OF ACTION.

15. Indemnification

Tenants agree to indemnify and hold BookingNudge harmless from any claims, damages, or expenses arising from: (a) the Tenant's use of the Service; (b) the Tenant's violation of these Terms; (c) any third-party claim related to the Tenant's business content or practices.

16. Termination

Either party may terminate a Tenant subscription with 30 days' written notice. Upon termination, the Tenant's widget will be deactivated. Lead data will be available for export for 30 days after termination, after which it will be deleted.

17. Dispute Resolution

These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-law principles. Any disputes shall be resolved in the state or federal courts located in Denver, Colorado. You waive any right to participate in a class action lawsuit against BookingNudge.

18. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated to Tenants via email at least 30 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

20. Miscellaneous

If any provision of these Terms is found unenforceable, the remaining provisions remain in effect. These Terms constitute the entire agreement between the parties regarding the Service. BookingNudge may assign these Terms in connection with a merger, acquisition, or sale of assets.
